PROFESSIONAL SERVICES AGREEMENT

THIS AGREEMENT (the "Agreement") is made and entered into this , by and between:

Michael R Shelton, an individual, with a mailing address at, 5207 County Road 99, Addison, AL, 35540, USA (hereinafter referred to as the "Client"), and

Iclick Solutions Inc., a corporation organized and existing under the laws of Delaware (USA), with its principal place of business at, 651 N Broad St, Suite 201, Middletown, Delaware 19709 (hereinafter referred to as the "Company").

RECITALS:

1. The Client desires to engage the Company to provide specific computer and network clean-up services, including the removal of illegal Child Pornography content discovered on the Client's computer and IP address, and any information linked to the Client found on the Dark Web (the "Services").

1. The Company has represented that its certified technicians possess the necessary expertise and ability to provide such Services.

NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SERVICES:

The Company shall provide the Services as more fully described in Exhibit A, attached hereto and incorporated herein by reference.

2. COMPENSATION:

The Client Paid to the Company, in consideration for the Services and Software’s, a total fee of USD 5,000. This amount was paid in one instalment of $5,000 USD with the Account Number Ending in 4801 bearing the Account holder’s Name as Michael R Shelton.

3. CLIENT'S ACKNOWLEDGEMENT:

The Client acknowledges his complete satisfaction with the Services and the software provided by the Company. The Client understands the scope and nature of the Services and the software, and affirms that they meet his requirements and needs.

4. NON-DISPUTE OF PAYMENT:

The Client agrees and covenants that he will not dispute, contest, or initiate any chargeback proceedings concerning the payment of the aforementioned fee. Should the Client contravene this provision by disputing the payment, he acknowledges that he will be liable for any resulting legal consequences.

5. INDEPENDENT CONTRACTOR:

In performing the Services, the Company shall act as and be an independent contractor and not an employee of the Client. Nothing in this Agreement shall affect the Company's independent contractor status.

6. CONFIDENTIALITY:

Both parties agree that all materials and information received from the other party will be considered confidential. Each party agrees not to disclose any Confidential Information received from the other party to any third party without the express written consent of the other party.

7. INDEMNIFICATION:

Each party agrees to indemnify and hold the other party harmless from any and all claims, losses, damages, liabilities, costs, and expenses arising out of its breach of any representation, warranty, or obligation under this Agreement.

8. GOVERNING LAW AND VENUE:

This Agreement shall be governed by and construed under the laws of the state of Delaware in United States of America. Any legal action or proceeding relating to this Agreement shall be instituted in a state or federal court in Delaware in United States of America.

EXHIBIT A – SERVICES

1. a) Computer, network, Ip Clean-up and Dark web clean-up;

1. b) Complete Removal of Child Pornography content discovered on the Client's computer and IP address;

1. c) Removal of all the information pertaining to the Client found on the dark web.

1.  d) This contract covers all possible legal issues that may arise in the course of providing or receiving services and may need to be customized to the particular circumstances of each party.
